Job Description

A dynamic law firm specializing in commercial real estate, corporate transactions, and regulatory compliance is seeking a motivated Real Estate and Corporate Transactions Paralegal. Join our team to deliver exceptional legal services in a collaborative and fast-paced environment.

Position Summary:

We are looking for a meticulous and detail-oriented paralegal to assist our attorneys with various transactional matters, including commercial real estate acquisitions and dispositions, leasing, financing, entity formation, corporate governance, and effective contract management. The successful candidate will be organized, proactive, and possess a strong understanding of both corporate and real estate processes.

Key Responsibilities:

  • Draft, revise, and compile transactional documents such as purchase and sale agreements, deeds, leases, loan documents, LLC/LP formation documents, resolutions, and closing binders.
  • Conduct and assess title searches, draft title opinion summaries, and coordinate with title companies and surveyors.
  • Oversee all closing logistics, including coordinating timelines, creating closing checklists, distributing documents, and participating in closings as necessary.
  • Support corporate governance duties by maintaining minute books, preparing annual filings, drafting resolutions, and updating organizational charts.
  • Assist with due diligence efforts: compile data rooms, organize documents, summarize findings, and track outstanding items.
  • Coordinate effectively with clients, lenders, brokers, municipalities, and other third parties.
  • Maintain calendars, deadlines, and transaction databases; ensure compliance with firm procedures and client requirements.
  • Conduct legal research and draft memorandums on procedural or statutory inquiries as necessary.

Qualifications:

  • 3+ years of paralegal experience in both corporate and commercial real estate transactions, either in a law firm or corporate legal department.
  • Strong familiarity with real estate documentation (deeds, mortgages, title issues), basic corporate formation and governance processes, as well as closing protocols.
  • Exceptional drafting, proofreading, and organizational capabilities with a keen attention to detail.
  • Proficient in MS Office (Word, Excel, Outlook) and preferred experience with title platforms, document management systems, and e-signature tools like DocuSign.
  • Adept at managing multiple projects under tight deadlines while communicating effectively with attorneys and clients.
  • A paralegal certificate from an ABA-approved program or a relevant degree is preferred.

Nice-to-Have:

  • Experience in commercial leasing and real estate finance.
  • Familiarity with state/local recording practices and UCC filings.
  • Previous experience in preparing closing binders and managing post-closing documentation.
